Schellenberg Wittmer Advises Panalpina on CHF 4.6 Billion Public Exchange Offer by DSV

On 1 April 2019, DSV A/S, Hedehusene, Denmark, and Swiss Panalpina Welttransport (Holding) AG, Basel, Switzerland, two of the world's leading freight forwarders, have reached an agreement on a combination by way of a CHF 4.6 billion Public Exchange Offer of DSV to all Panalpina shareholders to tender their Panalpina shares (listed at SIX Swiss Exchange) against DSV shares (listed at NASDAQ Copenhagen).

The combined DSV-Panalpina Group will become one of the world's largest supply chain solution providers with a combined revenue of approximately CHF 17 billion and a combined workforce of more than 60'000 employees. The Public Exchange Offer is subject to the satisfaction of customary conditions and expected to be settled in Q4/2019.
