Practice Group
Our Mergers & Acquisitions Group features lawyers with diverse backgrounds, training and specializations, all of whom have a distinctly international outlook. As a result, we offer clients a dedicated team that has the experience and size to handle every type of transaction across all relevant industry sectors, from complex start-up financing rounds for startups to private equity deals and large private and public M&A cross-border projects.

- We regularly act as international or domestic lead counsel or special Swiss counsel in all types of mid-sized and large-scale transactions, auctions, complex acquisitions, public takeovers, shareholder activist situations, mergers, carve-out transactions, corporate restructurings, relocations and joint ventures across all industries
- We are thereby acting for public and private companies, private equity and venture capital funds, family offices, institutional investors, directors, managers, individual entrepreneurs and investors from around the world
- We have extensive experience in advising all aspects associated with investment and divestment transactions, including sophisticated tax structuring, acquisition finance, merger control, capital markets and fund structures
- We have a strong level of capability and responsiveness in advising buyers and sellers, directors as well as shareholders in distressed M&A transactions, sales/acquisitions out of composition procedures, takeovers (friendly or hostile) of businesses during unforeseen crises within and outside of bankruptcy, where appropriate in close collaboration with our Restructuring and Insolvency practice, particularly taking into account potential risks of claw-back actions, liability and litigation
We assess situations across all legal disciplines and manage all aspects, from start to finish, by ensuring close collaboration with experts from all our other practice groups such as, Tax, Intellectual Property, Competition, Real Estate, ICT, Employment, Insurance, Restructuring & Insolvency and Litigation.
- Counsel to SIX listed Panalpina Welttransport (Holding) AG and its board of directors in connection with the CHF 5.1 billion public exchange offer launched by Danish DSV A/S, resulting in one of the world's largest supply chain solution providers
- Counsel to German private equity firm EMERAM and Xovis management shareholders in the sale of Swiss-based Xovis Holding, the worldwide market leader in 3D sensor-based analysis of people flows and waiting times, to Swiss private equity firm Capvis
- Counsel to Schroder & Co Bank in the sale of its Eastern European banking business to Swiss private bank CBH Compagnie Bancaire Helvétique
- Counsel to Bouygues Construction in its acquisition of Alpiq Engineering Services, a leading Swiss player in the energy, industrial services and rail infrastructure sectors (enterprise value CHF 850 million)
- Counsel to SIX Group, a European leader in payments and transactional services, on the carve-out of its European cards business into a strategic partnership with French Worldline for CHF 2.75 billion
- Counsel to SIX-listed Julius Baer Group in its acquisition and integration of Swiss asset manager WMPartners Vermögensverwaltung
- Counsel to the founders of MoneyPark, the leading Swiss technology-based advisory platform for financial products, in its 70% sale to Helvetia Group for CHF 107 million
- Swiss counsel to SIX-listed ams, a leading supplier of high-performance sensor solutions, in its acquisition of Heptagon Advanced Micro-Optics for up to USD 855 million in cash and newly issued ams shares
- Counsel in the merger of TWINT (PostFinance) and Paymit (SIX), creating the leading Swiss mobile payment solution TWINT 2.0
- Counsel to the canton of Graubünden and Axpo Holding as main shareholders in connection with SIX-listed electric power company Repower's strategic repositioning, delisting and refinancing
- Counsel to Swiss private bank EFG International in the acquisition of Swiss bank BSI from Banco BTG Pactual for CHF 1 billion
- Swiss counsel to Panasonic Healthcare Holdings, Tokyo, a portfolio company of KKR, in its acquisition of Bayer’s Diabetes Care Business for EUR 1 billion
- Counsel in the public merger between two SIX-listed companies in the automation technology sector, Perrot Duval Holding and Infranor Inter
